Should I trade My Car For This?

Don't give him the option of telling you that.. In my opinion.
If you want a body shop to look it over, then bring it to one you know someone and trust. Not one of his contacts. I have a great shop in the Scarborough area that I trust where they can tell you just by walking around the car.
Best area's to look would be in the engine bay. Check to see which bolts have been changed/removed as the ones holding the fenders are painted over from factory so as soon as you take a ratchet to them you will know that they have been removed from tool marks on them. Also check and see that all the welds are factory and that there isn't any obvious repair that has been done. Do the same in the trunk, though there it will be harder. Another great place to look is under the car.
Or get one of us to come and look at the car with you.

Same car, this one already has suspension mods etc, he wants 400 bucks less and it has a clean title. Why buy one that's been damaged if it's mroe expensive.

But he isnt getting it for resale value. He isnt paying very much for it, now often you see an s2000 at $12, 000 is it? Rebuilt title would be the reason.
I just looked up the values roughly of the 2005 TSX, you only want 2 grand on his side?
