I would recommend you switch out the memory modules one by one to test them out. I worked on a friends computer a couple of weeks ago and he had similar problems to your system. Turns out, one of his RAM modules was defective.

As for the ntoskrnl.exe, boot from the CD-ROM and then go into safe mode. Once you are in safe mode, copy the ntoskrnl.exe from your CD and into the winntsystem32 directory on your HD.

Alright, I called the fella who sold me the computer last December. I let him know of what was going on and the first thing he asked was if I installed all the latest drivers. Duh, stupid me... I was just using what was on the WinXP cd. I went to nvidia.com and downloaded the latest driver for my graphics card (the only driver I could think of that wouldn't be on the WinXP cd) and now everything is working peechy... for now. The computer would work before for a while and then just shut down. So, we'll see if it does that anymore.
