he's my honest opinion, and this is not a true flame...
if you don't know if $33.5K is a good price, or not, then you should do some SERIOUS research before you step foot in the car store. i know that's why you posted the question... but a good starting point is understanding that the first price is NEVER going to be a good one.
knowledge is your friend, but please don't rely exclusively on what people tell you on message boards.
and oh, yea... here's MY advice:
keep the rsx. unless you paid cash for it, you're going to be upside-down big time! the negative equity will be rolled into the S and you'll just get further underwater. a left over '03 S w/o hardtop shouldn't go for more than $28 or $29K, plus maybe $2.5K for the hardtop.
unless you're made of cash (or as they say, have money out the wazoo), you are going to have a tough time recovering from this deal for many years.
i'd say the deal is too rich by $3K or so. plus you're going to get screwed on the trade.

THe 1st price a dealer gave me for an MY03 brand new was 28,999. I am sure I could have taken 500-1000 of that.
Just a price point to be aware of.
Take your time. There will be S2000's on the lot ALL YEAR LONG.

i work at a Dodge Dealership and i just booked out an '03 S2000 for you, and with a hardtop it broke down to:
Wholesale: $28,450
Retail: $32,005
without a hardtop, take out $1650 from both prices.
those numbers are using Karpower which is like a dealer's version of Kelley Blue Book. so they're asking WAY too much. brush up on your negoiating skills
