99% your cat is bad, I had the same code on my 06, with 06K miles on it, honda covers it for 8 years or 80000 miles, i am a techinician and see these codes almost every week. What year is your S2000?

If you are talking about the 01, probably wont be covered, try getting one off internet, honda will rape you, it cost over 1000 to replace one, lucky me, i didn't have to pay a penny

Very slight possibility, but perhaps your O2 sensor has gone bad or needs a cleaning. Might want to just try this before dropping a few hundred dollars for a replacement cat

P0420 isn't from a bad 02 sensor... Everyone hopes that an 02 can cause it.. They buy a new sensor and get the same code. Don't waste your time.
