Official word from "Francis" at the NYS DMV call center, titles division:
The title, as expected will need to be checked off in back as the car being declared a total loss (as we all thought/knew it would be).
When the new owner goes to register it, they will be allowed to do so. Once the titles bureau recieves the title to retitle to new owner, they will contact new owner to make an appointment to have the car inspected to see that it has been returned to a safe, driveable condition. The parts used to repair the vehicle to this condition can be purchased new or used, and just need to have invoice/receipts to prove they were purchased legally. At this point, you will be free and clear.
This is for NYS only, so please check your local titles bureau.
All in all, nothing out of the oridinary, and if you can replace the parts with used one, this could be ONE HELL OF A DEAL!!! for someone.

Oddly, although its only been 2 days, I am getting lowbal offers of 5-7500 for the car. I think $8k is very reasonable, especially with a hardtop, from the original owner of the car, who has the reciepts for the maintanence, and will do as much as reasonable to facilitate the transaction.
