What do you guys mean by offer him 22.5 and then settle at 23k? Do you mean by the car for 22.5k and then with DMV fees it'll be 23k?

No, he means give an initial offer of $22.5K (the seller will probably refuse), then slowly negotiate upwards to $23K or so. DMV fees and taxes are in addition to that price.
