I have a friend that has ek9 type-r hatch that wants to trade me seats. now the question is will it fit my S? or do I need to get new rails for them?

bottom mounted seat tense to sit higher than stock set, if you are running out of headroom already with stockie you might want to reconsider that. T steel frame seat tense to be more heavy and bigger in foot print vs composite frame seat also(but some do work)
mugen side mount, bride FG will dropp the seat very low but you can't use it with a bottom mount, for alot of people getting a racing seat is not for the performance or weight saving, some folks just too big and tall for the roadster, an inch or two drops with aftermarket seat make it much more comfortable drive(not having your knee hitting the steering wheel and head again the rag top for example)
i don't have anything solid to offer but if it's your buddy's seat then you could do some test fitting, right?
make sure the door close and cabin storage door opens and close without hitting or rubbing.
