S2KCA Chapter and Bylaw Documentation are OUT!
I have undertaken to delete my posts of any content here since the Management here has made this an unfriendly place for me and the club I founded and am President of, the S2000 Club of America, Inc. and they have claimed that my words have somehow become THEIR property and I think that's pretty uncool. I believe that we have all of the s2kca websites. S2kca.com, s2kca.org and s2kca.net.
They are all going to point to s2ki when we get everything hammered out. We just put something out on s2kca.com for a temporary "fix".

1. dont know anything about IL law, but in CA we use d & o insurance for corp directors. i saw the indemnification clauses, but do not know how effective they are in IL. do we (you) have a legal opinion that the indemnification is sufficient under IL law to protect all directors/officers from liability?
2. do any of our CA board attorneys know if a CA member of an IL board with the indemnification clauses in the by-laws would be protected under CA law? or would CA law be irrelevant since it is an IL corp?

The policy we have for the corp has a duty to defend clause that basically says that if a member gets sued during a club function that the policy will step in and provide legal coverage for the suit.
I think you have to remember that every lawsuit is different and we are covered with a policy that just about every car club is covered with. I don't plan on getting sued, do you?
