You need component #10:

86500-S2A-A01 CONTROL UNIT, SOFT TOP

This recently happened on my friend's S2000 (also a 2002). The unit controls both the passenger window and the convertible top. Sucks but the control units have been known to go bad from time to time.

If you really want to know, then grab a multimeter and a repair manual start checking voltages. Otherwise, you're just going to have to play guess and check. Everything you've said, and having checked all the relays and fuses, it sounds like the convertible top controller.

don't have any experience w/this but it did raise a good question in my mind. if your top gets stuck up or down (with down being more of an issue i guess), is there any way to manually get the thing up or tucked back down without screwing up anything?
Yes, read your owner's manual. There's a grey connector under the dash on the passenger's side. Mine was taped to the harness. Remove tape, disconnect connector, get somebody to assist you with manually raising the top.

The OP might want to double-check this connector.
