Default Car starting problems

I have 2002 s2000 with about 65k on the swapped engine. Its happened twice during this month where the car wont start and I needed a push start for it to turn over. When I turn the key and push the start button, the car just clicks. The lights on the dash are fine, radio works, and top goes up and down still. Also when I start it when its cold, after it starts a grinding sound comes on like when you start the car and accidentily start it again. Im assuming its the starter? Any help would be appreciated.

From the description, I'd vote starter. To save a few $$$, I'd check the battery first just in case.
