When I covered my amp rack, I got some gray automotive fabric from Vision's car audio install bay. They sold me something like 4 square meters for about $20? The gray was a little darker than the S2000 gray, but close enough. You want real automotive fabric. It's real easy to work with and cut, stretches to shape, and allows you to get good sharp corners when you're covering things. I used some 3M adhesive spray to attach the carpet to the rack. You can score that from Home Depot or Rona.

I used a scrap of 3/4" plywood I had laying around from another project. But, if you have it, use 3/4" MDF.

About the 3M spray, you'll find that Home Depot/Rona carries a very diverse line of 3M adhesive sprays (they're all in the paint section). I don't quite remember which one I bought (I've actually got a few different cans at home from different projects). But, pick one that'll do a little gap filling, and is rated to attach heavy fabric to wood. If the stuff is too thin, it'll soak right through the fabric and make a mess. The stuff I used almost came out of the can like silly string (as apposed to the stuff I used to glue some neoprene to a fiberglass racing seat, that spray was MUCH thinner). If you can wait till tonight, I'll post back what I used. I still have the can at home I think.

3M's Super 77 Spray Adhesive. It has a low soak property which is critical for working with fabric. Here's 3M's writeup:

^thanks chris

well i started on it... first time i ever installed a stereo, i always watched my friends do it... damn the s2000 has no space to work with... but good thing im a small guy

my amp doesnt come till next week, so i borrowed my friends amp that hes not using for now... damn it sounds really good!!!
but right in the rear, under the plastic window... the panel is rattling like crazy.
i have to figure out something to make it stop rattling

this bass is loud.. my new amp isnt as loud, just clear which im looking for
but its pretty easy to run the 4 guage wire through the s2000, the only hard part i had was the fire wall.. everything else just took a while cause i was taking my time

next week, im off to make the false floor and everything...
