Clutch Release Problems

My 2001 S2000 is very difficult to shift when cold. Often when I finally get it out of gear from 2nd to 3rd for instance 3rd gear will grind. Once the car is warm these symptoms go away.
What could this mean?

Fresh transmission fluid may help, although the shifter will probably still tend to be somewhat balky when cold.
