Excuse my ignorance, I thought invoice was what the dealer paid for the car.

What's the difference between MSRP, invoice, and dealer cost again?

The holdback can vary depending upon all kinds of factors, some of which is the dealer's standing with Honda USA. And you can't overlook things like undisclosed dealer incentives from Honda, year end quotas that can affect next years quotas and allotment, cancelled interest payments, etc. There are lots of things that the dealer gains that can be translated into dollars that the customer will never know about.
Did you actually think that a dealer can sell for "under invoice" and still stay in business? Showing a customer the "invoice" has been a sales gimmick ever since Henry Ford sold his first Model T. It makes the customer feel all warm and cuddly and think he got a "steal".

I'm currently in the market for an 06 as well. I've visited 3 dealerships thus far and the best I've gotten is invoice at $31,193. Another dealer said they'd beat any price so I've emailed their internet manager and am currently waiting a response from them. If he can't beat it, then I will probably go for the invoice price.

Holdback is 3% of MSRP around here. Honda pays this to the dealer after the car is sold to cover sales commissions, advertising, etc.

I tried to make a deal in December on an 05, and the sales manager offered invoice minus hold back, but that was final. They still had the car 3 months later and would not go lower, saying "we will not lose money." All this to say that there is room below invoice for the dealer to still make money.

I finally paid $31,100 plus tax in January for my 06
