2001 s2k with 120k miles?
If you can afford something newer/better/lower miles try to get it. Otherwise, read the link...

Modifry had over 180,000 mi on his motor when he replaced it; 34,000 miles of that with N0S, 114,000 miles of that supercharged.

I bought my S2000 with a little over 103,000 miles. As long as the car has been properly taken of, it's going to run for a long time. I have no regrets yet with my car, and it runs just as strong as a S2000 with half the miles. Remember, this is a Honda we are talking about.
There are two factors here that the OP didn't mention. First is the price of the high mileage '01, and second is the mechanical aptitude of the OP. If the price is dirt cheap and the OP is a good tech, he should go for it. If the price is only a couple of thou less than similar cars with less than 50K on the odo, and/or if the OP has no more mechanical skills than I do, he/she should pass.
If it has 1 owner, and he has service record or kept good care of the car, then go for it...
pull a report on the car, If it had more than 3 owners, walk away. People tend to abuse their cars before they sell, i know i would =).
me and my dad put over 350,000 miles on his old CRX, then sold it for $1,500 to our garderner. however, for 120k, you should try to bring the price down a bit more.

With 120k the motor has already been broke in to how the previous owner drives. If the owner drove it mildly and you get and drive it aggressive the motor will not like it.
