So I'm in the process of negotiating the price down from 13k to 11k for the s2k I've been looking at.

So I eventually found another S2k. An 05 for 12k. Mileage is unknown, contacted seller via text & await response. The car looks good just needs fenders repainted & minor dents removed & the front lip has a small crack according to the seller. The seats look like they've seen better days, they have some serious signs of wear & few tears. As well the front windshield has a crack from something that flew on it. The ac has been removed for weight reduction including the back of the car has been stripped. The color of the car is grand prix white. The seats are the least of my concern I'd eventually remove them replacing them with some bride seats with takata harnesses but I do know they are expensive to replace. A good buy? Anything I should watch out for?

I would offer $10k (if that) based on the serious wear that you explained.

So... 2004 Suzuka blue 44k miles, stock, very minor parking rash passenger front, new top, garaged, bought from nice retired lady who clearly babied it. 15k. Good deal?

Assuming clean title, good mechanical condition (it sounds so from the fact that she babied it), Yes. Good deal, especially in this market, this time of year.
